Default Good deal?!?!?!? HELP QUICK $5200, $1200 needed work

So this guy has a 2004 convertible touring nissan 350z 100k miles and he wants 5200 for it (i've talked him down from 5900). The problem is it needs a new top and a new clutch which i'm willing to replace on my own.
I wanted to know if this was a good idea, overall id be getting a 350z for 6400$.

Should I take him up on the offer will it be worth it?
Also I have never replaced a clutch or a top before, how difficult will it be.

Clutch and FW will cost you at least $500 not including labor. With 100k miles, you'll want to replace the tranny and diff fluid which will cost you more.

The top sounds like a PITA.

You should probably jump on that deal if you're not in a rush to drive the car and fix it first.

There's a few reasons why this ZR is so cheap. If the fabric covering is damaged, it'll cost $500-700 (parts and labor) to have it replaced. If the frame or motors are damaged, the cost goes way up and you could be spending upwards of $1,200 for the assembly and fabric alone. Look before you leap- get this car carefully appraised before you buy!
