Um, I have the stupid luck of having both a 03 350Z and a 08 E93 M3 convertible sitting in my driveway and while I only have 800 miles on the M3, I have 60K on the Z, so I figure I can speak with some knowledge.
Sitting in a car and not driving it doesn't really allow one to form a very substantive impression.
However, I agree with you that the engine, when cold, does not sound entirely "pleasant." The same has been said of the M5, many have described it as sounding like a diesel. Personally, I like the chatty, lumpy sound. Besides, once the engine is warm and pulling 5500 rpm (I'm still limited during break in), it sounds pretty damn good. Really really good actually.
I also partly agree with you in terms of the interior. Keep in mind that the car does NOT have the interior of a 60-70K car. It basically has the interior of a 40K car, ie. the 328. The leather is better quality and there may be more of it, but the plastics on the dash I believe are the same, as are the instruments. The wheel and trim are different though. I think a similar analogy would be that (I presume), the ZR-1 has pretty much the same interior as a base Corvette.
Regardless, the Z and the M are entirely different. I have never driven an E46 M3, although I have ridden in one so I cannot really say how the two are different. I have driven a 335 which supposedly compares well to the old M3 and I can say that the 335 and E93 are very different.
I would recommend that you make a second opinion after driving the car, or better yet, after driving somebody's car that's been fully broken in. I imagine it would be a different one.

I guess the interior is all a matter of personal preferance, rouxeny is right that the M3 interior is pretty much the same as a 335 or other 3 series with very slight changes. And I agree with his Corvette analogy.
But for me coming from 350z---> 996---> to E92 M3 I really like the E92 interior . I have been in the C63 and still prefer the look of the E92 interior, well besides the seats...which are amazing in the c63. again this is personal preference.
I can say that the engine and exhaust sound amazing once the car is warmed up, it does have a "different" sound when the car is starting as rouxeny said.

For comparison, this is the interior of the IS-F, since they're technically in the same class. Personally, I like black leather better on the IS-F.
I to think the is-f interiors looks the best out of these 3 or at least special compared to the is350. None of these interiors has anything on the s5's interior.
yeah the ISF is technically in the same class but i doubt someone who buys the isf would conisder the m3 or vice versa. The isf is not competition for the m3 imo.
Having driven both they are substantially different drives. Even though they are in the same "class" of cars they offer very different results. The ISF is a boring drive imo. It is smooth and has alot of cooshy stuff where as when i drove the m3 it felt far more race inspired and sporty. Sure the isf is sporty too but not like the m3. In other words
M3=sporty sedan with a splash of luxury
ISF=luxury sedan with a splash of sport
This is all imo but before you call me out go test drive them and see for yourself.
