Why are you looking up Retail value in excellent condition?

First, this is a private party sale. Private party value is lower than retail.

Second, "excellent" condition is what's used by the banks to determine the maximum loan amount. No car ever sells for "excellent" value. The most you can hope for is "good" value.

EDIT: Using your zip code and the same optional equipment you used, I get $28735 PP good condition value (the car is auto, btw. You used 6 speed manual for your value). If you add about $10K for aftermarlet parts (aftermarket parts, at the absolute most, only add about 25% of their original cost to the value of a car), he'd be lucky to get $38K for it.
