Well searching through the corporate database for the Secretary of State makes it easy enough to research any legitimate business. That said, I cannot find "Momentum Performance" in the NC Sec of State database. There is however an entry that has a registered agent listed as belonging to Mr. Downes with an address in close proximity to that stated for Momentum Performance (on the cross street to N Green Meadows Dr, called Windmill Way), called Downes Performance Fabrication and Welding, L.L.C. It was formed in 1995 and dissolved just recently in March 2009.

Perhaps they are in the process of relocation? (and not yet a registered corporation?)

EDIT: The Colorado SOS website is down, but I doubt it's the same company. At least there is some history of presence in the same location in NC since 1995. I take that as a positive. Momentum should definitely get all their paperwork in order though, asap. I think you guys are off to a rocky start, but there's a sophisticated group of folks on this site, so this is just par for the course when you misstep. Strong products, choice and competition is good for the market and end user, so hope the future is a bit smoother for y'all. At least you guys live in one of the best spots on the East Coast!

I choose to neither support nor refute such a claim!

LOL - between work and my350, I have no time for the PTA. At least I've got my priorities straight. I tell my kids I'm spending all their college money on FI so they better get good grades!!!

I said before that I didn’t want to post to this thread any longer, but I think it’s important that I clarify a few apparent misunderstandings about Momentum Performance as a corporation. I am not a fan of speculation.

1. Downes Performance Fabrication and Welding was my company, and as you can see. I’ve been in the performance and fabrication business for some time. I was recruited by the Momentum investor group to found the company, and I dissolved Downes Performance this year (when the registration ran out). My sole commitment is to grow Momentum Performance.

2. Momentum Performance has no relationship at all with Momentum Turbos. We are in North Carolina, they are/were in Colorado.

3. Momentum Performance was incorporated on 08/26/08 under the name of NS Fabrication and has all the proper and current regulatory and governmental filing that are required for it to perform its business (including using the DBA of Momentum Performance). For those that are interested, you can see our state filing here: http://www.secretary.state.nc.us/cor...itemId=8959790

4. Our filing name of NS Fabrication came from the fact that we were founded by an investment group that also founded a shop in Wilmington North Carolina called National Speed (www.nationalspeedinc.com). (A couple of posters mentioned this relationship earlier in the thread.)

5. Our “paperwork” is in perfect order. It has to be. We are owned by a large group of successful investors and therefore have to answer regularly to a number of accounting firms and comply with the relevant securities regulations. We take the business side of our business very seriously.

6. We are in the process of spinning Momentum Performance off from National Speed. When this is completed, National Speed will no longer have an ownership position in Momentum, and the name will be changed from NS Fabrication to Momentum Performance (and the DBA will no longer be needed).

I hope this clears up the questions that were raised regarding Momentum as a corporation.

Bobby Downes

Thanks for the clarification - good to know. As XKR mentions and as you might note in the stickied thread in this forum, there is a company in San Diego that had many of us fooled for a good while...
